T&C Law Firm Assisted Fosun Pharma's Subsidiary, Yaneng Biology, in Selling the Controlling Stake and Raising a New Round of Equity Financing

As the Chinese legal counsel for Yaneng Biotechnology (Shenzhen) Co., Ltd. (hereinafter referred to as "Yaneng Biology") and its founding shareholder, Asia Energy Investment Limited (hereinafter referred to as "Asia Energy Investment"), T&C Law Firm assisted Asia Energy Investment in selling the controlling stake of Yaneng Biology to one of the largest private equity funds in the medical and health industry in Asia, CBC Group. Shanghai Fosun Pharmaceutical (Group) Co., Ltd. was a co-seller. The transaction amount of this transaction was approximately RMB 2.5 billion.

Yaneng Biology was registered and established in July 2001 and is a high-tech enterprise specializing in the research and development, production, and sales of molecular diagnostic reagents and supporting testing equipment and other products. Its product line covers fields such as cervical cancer HPV screening and genetic diseases represented by thalassemia. For consecutive years, its market share remains in a leading position domestically. In this project, T&C Law Firm was fully involved in the multiple rounds of negotiations and revisions of the transaction documents. Later, it further assisted the client in completing the preparations for various matters before the closing, and successfully completed the closing and the payment of the transfer price. In addition, this transaction involved the reduction of holdings by multiple investor shareholders (including domestic and foreign listed companies, BVI companies, etc.) and the exit of shareholding platforms. During the project, the T&C Law Firm assisted the client in coordinating various project nodes, shareholder signings, and fund receipts, etc.
